AGF (company)

Allianz France, S. A. ( to September 2009 Assurances Générales de France ( AGF) ) is the French parent company of the Allianz Group; Allianz is one of the leading insurance companies in France.

History

In 1818, Martin d' André Société Anonyme des Assurances Générales by conversion of a fire insurance company, a marine insurance and a life insurance company. 1849 was a reinsurance contract was concluded with Phenix in London, consequently Generale one of the major insurance companies in Europe was.

In October 1997, there was a hostile takeover bid by the Italian insurer Generali. As part of the takeover attempt Alliance published with the support of the management of AGF a counter offer. In November 1997, Generali and Allianz agreed: Generali gave up her AGF takeover plans and took in return the majority of the Aachen -Münchener Insurance Group ( AMB), held substantial investments in AGF and Allianz. Alliance took over as 1998 after successful completion of the offer with 58 % majority of the capital.

In early 2007, Allianz announced a public offer to buy up the remaining shares. After completion of the tender offer alliance had more than 95 % of the share capital; 4.6 % of the capital were in free float. In consequence, a squeeze-out was initiated in April 2007, so that the minority shareholders were against compensation cast their shares. On 11 July 2007, this process was completed by the end of the listing on the Paris Stock Exchange. The AGF has since become a wholly owned subsidiary of Allianz Holding France SAS ( a subsidiary of Allianz SE) and mid-September 2009 was renamed Alliance.

Already since January 2009, renamed Banque AGF as Allianz Banque.

From February 1976 to July 2007 AGF was on the Paris Bourse, now part of Euro next- Stock Exchange, and a member of the French CAC40 stock index.
