The Hugo Boss AG is a publicly traded clothing manufacturer based in Metzingen in Baden- Württemberg. Boss and Hugo Boss is also one of Germany's most famous fashion brands. Hugo Boss is located since 2007, majority-owned by the financial investor Permira.

History

In 1924, the company by Hugo Ferdinand Boss ( 1885-1948 ) was founded as a manufacturer of workwear in Metzingen.

In the 1930s, the company's management consisted of professing Nazis and won contracts for the supply of uniforms to the SA, SS, Wehrmacht and Hitler Youth. The company, which consisted of approximately 300 employees employed during the Second World War forced laborers from Western and Eastern Europe. In the denazification process Hugo Ferdinand Boss was first as " Loaded ", classified as a "fellow traveler ". In 1991, the Italian Marzotto Group became the majority shareholder. The Holy brothers left the company in 1993. Chairman was Peter Littmann, the youth line Hugo and 1994, named after the chief designer premium line Baldessarini introduced in 1993. 1997 was first designed in the history of the brand Hugo Men's Clothing by Hugo Boss. After disagreements between Littmann and the Marzotto Group in 1998 Werner Baldessarini was appointed Chairman of the Board, among other things, with Boss Orange pushed forward as the successor collection for the set Boss Sport line in the sportswear division. 2000, the company introduced under the brand name Boss Woman one produced in Milan under the German designer Grit Seymour main collection for men fashion, however, initially import high losses and only in 2002 after a successful repositioning was slow with a design team in Metzingen. Baldessarini 2002 left the company and the boss manager Bruno Salzer ( 1995 CSO ) took over the post of CEO. Salzer created the lifestyle group Hugo Boss, rescued the women's line Boss Woman and pushed ahead with international expansion. 2005 separated Marzotto his clothing and fashion activities in the Valentino Fashion Group from, the main shareholder of Hugo Boss was so until the end of 2009.

2007 Valentino was taken over by private equity firm Permira for 3.5 billion euros, which has a significant impact on the company Hugo Boss ever since. Salzer retired in February 2008, among other things because of disagreements about the business policy and a special dividend in favor of Permira in the amount of 345 million euros, from the company. Mid-2008, the former Louis Vuitton and Christian Dior manager Claus -Dietrich Lahr was appointed Chief Executive Officer. End of 2009, Hugo Boss was removed from the Valentino Fashion Group; henceforth the proportion of Permira via Red & Black Holding is held. For a share sale in November 2011, the Red & Black Holding holds Hugo Boss 66 % of the total share capital and 89 % of the voting rights. In April 2010, members of the Marzotto family had been appointed to the Supervisory Board, raising sales rumors, but denied the Permira.

In January 1999, Hugo Boss went online for the first time with their website. In 2009 the company launched the mail order through an online store on your website. The end of 2011, the Company operated 622 own Hugo Boss stores worldwide.

The Baldessarini brand was sold to Werner Baldessarini in September 2006. Baldessarini sold directly following the second biggest European Men's Fashion Group Ahlers in Herford. The Boss Baldessarini brand portfolio has been replaced by the already launched in 2004 Boss Selection collection. Boss Selection was mid-2012, integrated into the main line Boss Black and abandoned as a separate collection.

Ladies Clothing

In 2011, the women's fashion segment represented 11 % of the annual turnover of Hugo Boss. Boss women's fashion is sold under the following brands:

2012 Boss Home collection with sheets, towels and other articles was launched for home use.

Boss Fragrances

Procter & Gamble sells under the name Boss and Hugo and Hugo Boss perfumes, creams and shower gels. P & G has acquired a trademark license from Hugo Boss at the moment.

Shareholder

Up to and including 15 June 2012, the share capital was divided into no-par value ordinary bearer shares and preference shares. On June 15, 2012 after market close the preference shares were converted into ordinary shares and converted all shares to registered shares. The share capital of the Company consists of 70,400,000 since then without par value common stock.

Marketing

The Hugo Boss AG promotes since 1996 every two years as a cultural sponsor of the Solomon R. Guggenheim Foundation awarded Hugo Boss Prize and supports international contemporary exhibitions. Likewise, there has long been an intensive cooperation with the Salzburg Festival. So equips boss every year since 1999 from various performances.
