RTL Group SA (derived from Radio Télévision Luxembourg) with 53 television and 28 radio stations Europe's leading provider of advertising-financed private television and private radio. The Group is headquartered in Luxembourg City. The Group is majority owned by Bertelsmann.

Company History

RTL Group was formed in 2000 from the merger of CLT -UFA with the British company Pearson TV. In February 2001, the Bertelsmann AG acquired through a share exchange with the Belgian Groupe Bruxelles Lambert ( GBL), the majority of 67 % of the RTL Group (RTL, RTL II, VOX, n-tv, Super RTL, RTL Nitro ). In January 2002, the acquisition of additional 22 % of Pearson followed.

In 2005, another 37.3% of BW - TV, a holding company that was 80% owned by Bertelsmann and 20% of the WAZ taken over. Our involvement in the BW - TV was now complete. Bertelsmann currently holds 76.4 % of the shares. Free Float: 22.8 % - of which 0.76 % is held jointly by the RTL Group and CLT -UFA as treasury shares. (As of June 6, 2013 )

Bertelsmann has already tried at least twice, the Group fully to buy, most recently in late 2007. First time the plans were, however, failed because of the price.

In April 2013, Bertelsmann sold part of its shares. As a result, the proportion of shares held by Bertelsmann shares of 92.3 % decreased to 75.1 %, took over on June 6, 2013 but again some shares and now holds 76.4 %.

The broadcast group RTL Germany apparently plans to DVB-T phase-out by early 2014. According to the information the DVB-T all the associated transmitter is terminated in June, for example, in the Munich area and on the basis of fixed-term contracts would under the current state of developments DVB-T broadcasting practically set to 2014 nationwide. The Managing Director of RTL Interactive justified the step, among others, lack of planning security, since the digital frequencies in particular telecommunications companies highly sought after and the Federal Economics Ministry wants the transmitters not assure the long-term use of frequencies.
